What you are agreeing to

IN SHORT

These terms plus your signed quote make the contract. Where the quote and these terms disagree, the quote wins — it was written for your project, this page was not.

  1. 1.1

These terms govern services supplied by InterfaceBeam Ltd, registered in England and Wales under company number 15482549 (“InterfaceBeam”, “we”, “us”), to you (“the client”).

  2. 1.2

The contract between us is formed of the written quote or proposal we issue, any statement of work attached to it, and these terms. Together they are the whole agreement, and they replace anything discussed beforehand.

  3. 1.3

If a term in the quote conflicts with a term on this page, the quote takes precedence for that project.

  4. 1.4

Browsing this website does not create a contract. Nothing on the site is an offer capable of acceptance; prices shown are indicative starting points.

  5. 1.5

These terms are written for business clients. If you are engaging us as a consumer rather than for business purposes, your statutory rights under the Consumer Rights Act 2015 apply in full and nothing here reduces them.

02

Scope, quotes and changes

IN SHORT

We quote a fixed price after the discovery call, not before. If you later want something outside that scope, we price it separately and you decide — no surprise line items.

  1. 2.1

We issue a fixed price after a discovery call, based on the scope agreed in that call. Prices published on this site are starting points, not quotes.

  2. 2.2

A quote is open for acceptance for 30 days from its date, unless it says otherwise.

  3. 2.3

Work outside the agreed scope is a variation. We will describe it and price it in writing, and we will not start it until you approve that price.

  4. 2.4

Where a project includes a stated number of revision rounds, further rounds are a variation and are charged at our standard rate.

  5. 2.5

Retainer services are supplied monthly on a rolling basis and describe the work included for that month. Unused capacity does not roll into the following month.

03

Fees, invoices and late payment

IN SHORT

Projects run 50% up front and 50% at launch. Retainers are billed monthly in advance. Invoices are due in 14 days, and we will tell you before anything stops.

  1. 3.1

Unless the quote says otherwise, project fees are invoiced 50% on acceptance and 50% on completion, before the site goes live on your domain.

  2. 3.2

Retainer fees are invoiced monthly in advance and cover that calendar month of work.

  3. 3.3

Invoices are payable within 14 days of the invoice date, in pounds sterling, by bank transfer to the account shown on the invoice.

  4. 3.4

Fees are exclusive of VAT. VAT is added at the prevailing rate where it applies.

  5. 3.5

Third-party costs — domain registration, hosting, licensed fonts, stock imagery, paid media budgets, third-party software — are yours and are either billed to you at cost or purchased in your own name. We will always tell you before committing you to one.

  6. 3.6

If an invoice is overdue we will contact you first. If it stays unpaid 14 days after that, we may suspend work and withhold delivery of new materials until it is settled. We will give you at least seven days' written warning before suspending anything.

  7. 3.7

We reserve the right to statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, which we would rather never use.

  8. 3.8

Retainer pricing may be reviewed once in any 12-month period on 30 days' written notice. You may end the retainer under clause 8 if the new price does not suit you.

04

What we each have to do

IN SHORT

We deliver on the agreed scope and keep you posted. You give us content, access and decisions when we ask. Most delays in this business are content delays.

  1. 4.1

We will supply the services with reasonable care and skill, using appropriately experienced people, and keep you informed of progress at agreed intervals.

  2. 4.2

You will provide the content, brand assets, approvals and system access we reasonably need, and nominate one person who can make decisions on your behalf.

  3. 4.3

Indicative timelines — typically four to six weeks from kick-off for a website — assume materials and approvals arrive when requested. Where they do not, the timeline moves by at least the length of the delay.

  4. 4.4

If a project is paused at your request for more than 30 days, we may invoice for work completed to that point and reschedule the remainder against our then-current availability.

  5. 4.5

You confirm that any content you supply is yours to use, does not infringe anyone else's rights, and is not unlawful. You indemnify us against claims arising from content you supplied.

  6. 4.6

Where we need credentials for your systems, you grant the minimum access required. You can revoke it at any time, and we will tell you if doing so blocks the work.

05

Who owns the work

IN SHORT

You do, once you have paid for it. Domain, hosting, design files, code, analytics — all yours, and we hand them over without being asked twice.

  1. 5.1

On full payment of all sums due, all intellectual property in the deliverables created specifically for you transfers to you.

  2. 5.2

Until that payment is made, we retain ownership and grant you no licence to use the deliverables in public.

  3. 5.3

We retain ownership of our pre-existing materials — internal tooling, frameworks, components and methods we developed before or outside your project. Where any of it is embedded in a deliverable, you get a perpetual, worldwide, royalty-free licence to use it as part of that deliverable.

  4. 5.4

Third-party components stay under their own licences. We will tell you which ones a build depends on.

  5. 5.5

At the end of an engagement we hand over the domain, hosting access, design files, source code and analytics accounts. Handover is included in the fee; there is no exit charge.

  6. 5.6

We may describe the work and show it in our portfolio and case studies. Tell us if you would rather we did not, and we won't.

06

What we do not promise

IN SHORT

We cannot promise a ranking, a traffic number or a sales figure, and you should distrust anyone who does. We promise the method, the effort and honest reporting.

  1. 6.1

Search rankings, traffic volumes, conversion rates and revenue depend on search engine algorithms, competitor behaviour and your own market. We do not guarantee any particular outcome, and no statement by us should be read as a guarantee of one.

  2. 6.2

SEO and marketing engagements typically begin to show measurable movement in 60 to 90 days. That is an observation from past work, not a commitment.

  3. 6.3

We do not use techniques that breach search engine guidelines. If you ask us to, we will decline.

  4. 6.4

We are not responsible for the effect of changes made to a delivered site by you or by another supplier after handover.

  5. 6.5

Where we recommend third-party services, we are not responsible for their performance, pricing or availability.

07

Where our liability stops

IN SHORT

Our liability is capped at the fees you paid us in the preceding twelve months. We do not cap the things the law says we cannot cap.

  1. 7.1

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

  2. 7.2

Subject to that, our total liability arising out of the contract is limited to the total fees you paid us in the 12 months before the claim arose.

  3. 7.3

We are not liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or any indirect or consequential loss.

  4. 7.4

We are not liable for loss or corruption of data where you have not kept your own backups. Keeping a backup of material you cannot afford to lose is your responsibility.

  5. 7.5

Neither of us is liable for failures caused by events outside reasonable control, including outages at a hosting or platform provider.

  6. 7.6

Claims must be brought within 12 months of the date you became aware, or reasonably should have become aware, of the circumstances giving rise to them.

08

Ending the engagement

IN SHORT

Thirty days' notice on a retainer, from either side, no reason needed. We hand everything over and we do not make leaving painful.

  1. 8.1

Either party may end a retainer by giving 30 days' written notice. Notice takes effect at the end of the current paid month.

  2. 8.2

There is no minimum term and no lock-in on retainers. We would rather you stayed because the work is good.

  3. 8.3

If you cancel a fixed-price project after it has started, you pay for work completed and for commitments we have already made on your behalf. The deposit covers work already done and is non-refundable.

  4. 8.4

Either party may end the contract immediately if the other commits a material breach that is not put right within 14 days of written notice, or becomes insolvent.

  5. 8.5

On termination we complete handover within 14 days of final payment: domain, hosting, files, code and account access.

  6. 8.6

Clauses on fees already due, ownership, confidentiality, liability and governing law survive termination.

09

Confidentiality and data

IN SHORT

What you tell us about your business stays with us. Where we handle personal data on your behalf, we do it under a separate written agreement.

  1. 9.1

Each party keeps the other's confidential information confidential and uses it only to perform the contract. This continues for three years after the engagement ends.

  2. 9.2

This does not apply to information that is already public, independently developed, or required to be disclosed by law.

  3. 9.3

Our handling of personal data is described in the privacy policy. Where we process personal data on your instructions, we do so as your processor under a data processing agreement signed alongside the quote.

10

The general clauses

IN SHORT

English law, English courts, and no third parties can enforce this contract. If one clause fails, the rest still stand.

  1. 10.1

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

  2. 10.2

Before starting proceedings, both parties agree to try to resolve the dispute by discussion, and then by mediation if that does not work.

  3. 10.3

Neither party may assign the contract without the other's written consent, except to a buyer of substantially the whole business.

  4. 10.4

A person who is not a party to the contract has no rights under the Contracts (Rights of Third Parties) Act 1999.

  5. 10.5

If any clause is found unenforceable, the rest of the contract continues in force.

  6. 10.6

Failing to enforce a term on one occasion does not waive the right to enforce it later.

  7. 10.7

We may update these terms. The version in force when your quote was accepted governs that engagement; a new version applies to retainers from the start of the month after we notify you.

Email hello@interfacebeam.com and a person will explain the clause in plain terms. Ask for it in writing and we'll put the answer in an email you can keep.
